Richard Warburton AO Director (Non-executive/Independent) Mr Warburton was appointed a director of Caltex Australia Limited on 29 July 1999 and served as Chairman of the Board from 26 April 2001 to 30 September 2007. Mr Warburton will retire as a director with effect from the conclusion of the 2008 Annual General Meeting. In 2007, until he retired as Chairman of the Board, Mr Warburton was Chairman of the Nomination Committee and the OHS & Environmental Risk Committee, a member of the Human Resources Committee and attended meetings of the Audit Committee in an ex-officio capacity. For the remainder of 2007, Mr Warburton was a member of the Nomination Committee, the OHS & Environmental Risk Committee and the Human Resources Committee. Mr Warburton brings considerable board and corporate governance experience to Caltex. Prior to becoming a professional director, Mr Warburton was the Chairman and Chief Executive Officer of DuPont Australia and New Zealand, where he was responsible for DuPont’s petrochemical business operations in Australia and New Zealand. Mr Warburton is Chairman of the Board of Taxation and is a Fellow (and a former National President) of the Australian Institute of Company Directors.
